Terms of Service

These Terms of Service ("Terms") govern your access to and use of sproutstudio.app and our related apps/services (the "Services"). By using the Services, you agree to these Terms and our Privacy and Refund Policies.

If you are a consumer under applicable law, mandatory consumer protections prevail over conflicting parts of these Terms.

1) Definitions

  • Company: Sprout Studio.
  • Services: Our website, apps, and related software.
  • Merchant of Record (MoR): Lemon Squeezy, which handles billing and tax collection for purchases.
  • License: A right to install/use the software per these Terms.
  • Account: Credentials tied to your purchases and licenses.
  • Device: A computer or phone you own or control.

2) Eligibility & Accounts

  • You must be at least 14 years old (or the age of digital consent in your region).
  • Provide accurate information and keep it updated; you're responsible for your credentials and activity.
  • Licenses are for a single end user unless stated otherwise (e.g., enterprise).

3) Orders, Delivery & Taxes

  • Purchases are processed by our Merchant of Record (e.g., Lemon Squeezy).
  • You will receive a license key or account entitlement upon successful payment.
  • Taxes may be collected based on your billing address and applicable law.
  • Refunds are governed by our Refund Policy.

4) License Grant

Subject to these Terms, we grant you a personal, revocable, limited, non-exclusive, non-transferable, non-sublicensable license to install and use the software on your Devices.

5) Acceptable Use & Restrictions

  • No reverse engineering, decompiling, or attempts to access source code except to the extent permitted by law.
  • Do not bypass license enforcement, DRM, or security features.
  • No unauthorized redistribution, resale, or creation of derivative works.
  • Do not interfere with or overload our infrastructure; no malware or unlawful content.
  • Comply with applicable laws, export controls, and third‑party terms when using integrations.

6) Third‑Party Services & Open‑Source

  • Some features rely on third‑party services (hosting, payments, analytics). Their terms apply in addition to ours.
  • Open‑source components are licensed under their respective licenses; where required, those licenses govern your use of those components.

7) Updates, Changes & Beta

  • We may provide updates or modify/remove features. For changes that materially affect rights or obligations, we will give prior notice (7 days; 30 days for material changes).
  • Beta/preview features are provided AS IS without commitments and may be withdrawn.
  • You authorize automatic updates unless your platform settings disable them.

8) Feedback

If you provide suggestions, you grant us a worldwide, royalty‑free, irrevocable license to use them without obligation (excluding your personal data, which is handled under our Privacy Policy).

10) Suspension & Termination

  • We may suspend or terminate access for material breaches, unlawful activity, or risks to users or infrastructure.
  • Upon termination, your license ends and you must stop using and uninstall the software. Provisions that by nature should survive will survive (ownership, payments due, warranty disclaimers, liability limits, disputes).

11) Warranties

To the maximum extent permitted by law, the Services and software are provided AS IS and AS AVAILABLE. We do not warrant uninterrupted or error‑free operation.

Nothing in these Terms excludes liability where prohibited by law, including for fraud or willful misconduct.

12) Liability

To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits or data.

In any case, our aggregate liability for all claims relating to the Services will not exceed the greater of (a) USD 100 or (b) the amounts you paid to us (excluding taxes) for the 12 months preceding the claim.

These limitations do not apply to liability that cannot be limited under applicable law, and do not apply to our intentional misconduct or gross negligence.

13) Indemnification

If you use the Services for business purposes, you will indemnify and hold Sprout Studio harmless from claims arising out of (i) your unlawful use or breach of these Terms, or (ii) your violation of third‑party rights, to the extent permitted by law.

14) Governing Law & Disputes

These Terms are governed by the laws of the Republic of Korea. If you are a consumer, you may bring claims in the courts competent under applicable law. For non‑consumer (B2B) users, the courts of Seoul, Korea will have exclusive jurisdiction.

15) Miscellaneous

  • Severability: if any provision is invalid, the remainder stays effective.
  • Assignment: you may not assign these Terms without our consent; we may assign as part of a reorganization, merger, or sale.
  • No waiver: our failure to enforce is not a waiver.
  • Entire agreement & language: these Terms (together with linked policies) are the entire agreement. For Korean users, the Korean version prevails in case of conflict; otherwise, the English version controls.
  • Notices: we may notify you via email, in‑app, or the website.
  • Force majeure: we are not liable for delays caused by events beyond our reasonable control.
